Softin Technology Limited thanks you for selecting "Account-Care" online services, a full online accounting and business management software. In the following Terms/Conditions Softin Technology Limited is interchangeably used as 'Softin Technology Limited', 'we', 'our', or 'us'. This agreement is a legal instrument between "You" and "Softin Technology Limited".

This Agreement describes the "Account-Care" online software services provided to you, including content, updates and new releases, (collectively, the "Services"). It also includes:

1. Additional Terms and Conditions, which may include those from third parties.
2. Any terms provided separately to you for the Services, including product or program terms, ordering, activation, payment terms etc.

We will link (URL) the software within 72 Hours after receiving the Work Order and the first-time right-to-use payment along with service charge for the first month.

The services are protected by copyright, trade secret, and other intellectual property right laws. You are only granted the right to use the Services and only for the purposes described by Softin Technology Limited. Softin Technology Limited reserves all other rights in the Services. Until termination of this Agreement and as long as you meet any applicable payment obligations and comply with agreement, Softin Technology Limited grants to you a personal, limited, nonexclusive, nontransferable right and license to use the Services.

You agree not to use, nor permit any third party to use the Services and content in a manner that violates any applicable law, regulations, or this Agreement. You agree you will not:

1. Provide access to or give any part of the Services to any unauthorized third party.
2. Reproduce, modify copy, deconstruct, sell, trade, or resell the Services.
3. Make the Services available on any file sharing or application hosting service.

For Services offered on subscription basis, the following terms apply, unless Softin Technology Limited or its vendor(s) notifies you otherwise in writing:

1. The price offered and agreed upon by the client is exclusive of all types of Tax and VAT.
2. One-time charge (OTC) to be made along with the subscription for the first month before you are given online user permission/access.
3. Any type of payment is not refundable.
4. The monthly subscriptions to be advance paid for subsequent months should preferably be paid on three monthly or six monthly or yearly basis. All payments to be made in crossed cheque in favour of "Softin Technology Limited".
5. If your payment and registration information is not accurate, current, and complete and you do not notify us promptly when such information changes, we may suspend or terminate your account and refuse any use of the Services.
6. If you do not notify us of payment update in case of unusual delay in payment, it may cause suspension of your service
7. "Account-Care" Online service depends on regular and timely payment of monthly subscriptions.
8. In case of non-payment of service charge for a consecutive two months your account will be automatically closed. In such case the service may resume after clearing all dues. In case of suspension of service under the circumstances mentioned your account & database will be kept in our server for one year only from the day of closure. After that it will be deleted permanently.
9. All the client service/issues can be provided/solved online basis, however if in an extreme case necessity arises to deploy field operator(s), the client to bear all the expenses like food, accommodation, transportation etc. for the person so deployed.

You are responsible for securely managing your password(s) for the Services and to contact Softin Technology Limited if you become aware of any unauthorized access to your account.

The following rules need to be adhered to for uninterrupted service:

1. The current package offered to you has a limited voucher entry of 1500 monthly average basis plus/minus 100 vouchers will be allowed per month. If you cross this limit then you will be updated package buy now, within three month you will must be purchase updated package otherwise suspected your account.
2. Allowable space limit is 100 MB. For additional space up to another 100 MB, BDT 2000.00 will be added to current monthly service charge to be paid per month.
3. Account related data including all financial reports and transactions will be preserved for last two years (730 days) at any point of time.

The package includes a free online training support & services including Software training for 03 working days. However, for any additional days of training Tk. 500.00 per day will be charged.

For any customization, modifications and up gradations additional fee will be charged depending on volume and labor-hour of works involved, which will be negotiated on case to case basis. However, normal and routine update of this software carried out by Softin Technology Limited will be provided to you free of cost.

Use of these Services may be available through a compatible mobile device using internet access and may require software. You agree that you are solely responsible for fulfilling these requirements, including any applicable changes, updates and fees for SMS messages, data plans, and general usage, as well as the terms of your agreement with your mobile device and telecommunications provider.

Softin Technology Limited makes no warranty or representations of any kind, express statutory or implied as to:

1. Access and availability of internet.
2. The availability of telecommunications services from your provider and access to the services at any time and from any location.
3. Any loss, damage, or other security intrusion of the telecommunication services or internet due to virus and/or system malfunction not attributable to this software.
4. Any disclosure of information to third parties or failure to transmit any data, communications or settings connected with the services.

Softin Technology Limited does not bear any responsibility for all materials/contents that you upload, post, or store through your use of the Services. You are responsible for any lost or unrecoverable content. You must provide all required and appropriate warnings, information and disclosures. Softin Technology Limited is not responsible for the content or data you submit through services. You agree not to use nor permit any third party to use the Services to upload, post, distribute, link to publish, reproduce, engage in or transmit any of the following including but not limited to:

1. Illegal, fraudulent, defamatory, obscene, pornographic, profane, threatening, abusive, hateful, harassing, offensive, inappropriate or objectionable, information, or communications of any kind, including, without limitation conduct that would encourage incite others or criminal or civil liability under prevailing law of the land.
2. Content that would impersonate someone else or falsely represent your identity or qualifications or that constitutes a breach of any individual's privacy.
3. Any information, software, or content which yours is not legally and without permission from the copyright owner or intellectual property rights owner.
4. Softin Technology Limited may monitor your Content. Softin Technology Limited may, but has no obligation to, monitor content on the Services. We may disclose any information necessary to satisfy our legal obligations, protect Softin Technology Limited or its customers, or operate the Services properly. Softin Technology Limited, in its sole discretion, may refuse to post, remove, or refuse to remove, any Content, in whole or in part, alleged to be unacceptable, undesirable, inappropriate, or in violation of this Agreement.

Your use of the services and content is entirely at your own risk, except as described in this agreement, the services are provided "as is." to the maximum extent permitted by applicable law. Softin Technology Limited, its affiliates, and its third-party providers, licensors, distributors or suppliers disclaim all warranties, express or implied, including any warranty that the Services are fit for a particular purpose, title, merchantability, data loss, non-interference with or non-infringement of any intellectual property rights or the accuracy, reliability, quality or content in or linked to the Services.

Softin and its affiliates and suppliers do not warrant that the services are secure, free from bugs, viruses, interruption, errors, theft, or destruction.

To the maximum extent permitted by applicable law, the entire liability of Softin Technology Limited, its affiliates, and suppliers for all claims relating to this agreement shall be limited to the amount you paid for the services during the twelve (12) months prior to such claim. Subject to applicable law, Softin Technology Limited, its affiliates, and suppliers are not liable for any of the following: (a) indirect, special, incidental, punitive or consequential, damages; (b) damages relating to failures of telecommunications, the internet, electronic communications, corruption, security, loss or theft of data, viruses, spyware, loss of business, revenue, profits, or investment or use of software or hardware that does not meet Softin Technology Limited system requirement.

You agree to indemnify and hold Softin Technology Limited and its affiliates and suppliers harmless from any and all claims, liability and expenses, including reasonable attorneys fees and costs, arising out of your use of the Services or breach of this agreement.

Softin Technology Limited may immediately, in its sole discretion and without notice terminate this agreement or suspend the Services if you fail to comply with this agreement or if you no longer agree to receive electronic communications. Any termination of this agreement shall not affect Softin Technology Limited any outstanding payments will become due.

We reserve the right to change this Agreement at any time, and the changes will be effective when posted through the Services, on our website for the Services or when we notify you by other means. We may also change or discontinue the Services, in whole or in part. Your continued use of the Services indicates your agreement to the changes.
